End User License Agreement

Effective date: September 15, 2026.

This agreement governs your use of the Eco Systems Rewards application ("the App") installed on point-of-sale devices, including Clover devices. It is between Eco Systems CRM & More ("we," "us") and the business installing the App ("you," "your store"). Your use of the wider Eco Systems platform is governed by our Terms of Service, and how we handle data is described in our Privacy Policy.

What you're licensed to do

We grant your store a limited, non-exclusive, non-transferable, revocable licence to install and use the App on point-of-sale devices belonging to your store, for the purpose of operating your own loyalty program, for as long as your Eco Systems account is active and in good standing. The App is licensed, not sold.

You need an Eco Systems account

The App is a companion to the Eco Systems platform and does not function on its own. It requires an active Eco Systems account with your point-of-sale connected. Without that connection the App will tell you so and do nothing else.

What the App does and what it accesses

The App lets staff look up a member by phone number at the register, see their points balance and available rewards, apply a redeemed reward to the open ticket, and enroll a new member at the counter. To do this it accesses, through your point-of-sale provider's interfaces and with your authorization: your merchant account details (to identify which of your stores a register belongs to), open and completed orders (to award points and apply rewards to a ticket), payments (to know when a sale completed), customer records (to match a sale to the right loyalty account and to keep names and email addresses current), and inventory items (to find an item that a free-item reward refers to). It writes only to orders, in order to apply a reward, and to customer records, in order to keep them current.

Marketing consent

Where the App offers a customer the option to receive marketing messages, that option is presented unchecked and is recorded only when the customer affirmatively agrees. You agree not to record consent on a customer's behalf. Your obligations around messaging are set out in the Terms of Service.

What you may not do

Don't copy, modify, translate, or create derivative works of the App; don't reverse engineer, decompile, or disassemble it except to the extent that restriction is unenforceable by law; don't rent, lease, sublicense, resell, or provide the App as a service to anyone else; don't remove or obscure proprietary notices; and don't use the App to break the law or any rules of your point-of-sale provider.

Ownership

We and our licensors own the App and all intellectual property in it. Nothing in this agreement transfers ownership to you. Your store's own data remains yours, as described in the Terms of Service.

Updates

We may release updates that add, change, or remove features. Updates are delivered through your point-of-sale provider's app distribution and are covered by this agreement. Continued use after an update is acceptance of it.

Your point-of-sale provider is not a party to this agreement

The App is provided by Eco Systems, not by Clover, Shopify, Lightspeed, or any other point-of-sale provider. Those providers are not responsible for the App and provide no warranty or support for it. Any claim about the App is between you and us. Their own agreements continue to govern your use of their hardware and services.

Warranty disclaimer and limits

The App is provided "as is," without warranties of any kind, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, and without a warranty of uninterrupted or error-free operation. To the maximum extent permitted by law, our total liability for any claim relating to the App is capped at the fees you paid us for the Eco Systems platform in the twelve months before the claim, and neither party is liable for indirect, incidental, special, or consequential damages. Nothing here limits liability that cannot lawfully be limited.

Termination

This licence ends automatically if your Eco Systems account is closed, if you uninstall the App, or if you materially breach this agreement. On termination, stop using the App and uninstall it. Your access to your own data is governed by the Terms of Service.

Governing law

This agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules.

Changes and contact

We may update this agreement; material changes will be notified to store owners with reasonable notice, and continued use after the effective date is acceptance. Questions: [email protected].
